As said before the bike is not worth a full blown resto and any money spent is not likely recovered on a resale. If a keeper you could get the correct fenders, seat, and rack and give it a rattle can repaint which would minimize costs and, if done properly, would look pretty nice. If not a keeper sell as-is and buy either a really nice original bike or if you like shiny there are plenty of restored bikes out there. Just do your homework so you know what 'right' looks like.
